*Global Freelancers*

1. Introduction
1.1. These Terms and Conditions (“*Terms”) govern your access to and use of the website, platform, mobile applications, and any related services provided by **Global Freelancers* (“*Global Freelancers,” “we,” “our,” or “us”) (collectively, the “Platform*”).
1.2. By accessing, browsing, or using the Platform, registering an account, posting or responding to projects, sending offers, or purchasing services, you (“*User,” “you,” or “your”) agree to be bound by these Terms, our **Privacy Policy*, and any other policies or guidelines referenced in these Terms or published on the Platform.
1.3. If you do not agree to these Terms, you must not use the Platform.
1.4. If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” will refer to that entity.

2. Definitions
In these Terms, unless the context requires otherwise:
- *Account*: A registered profile created by a User to access or use the Platform.
- *Client*: A User who posts a Project, seeks services, or purchases Services from a Freelancer through the Platform.
- *Freelancer*: A User who offers or provides freelance or professional services to Clients through the Platform.
- *Services*: All freelance or professional services that a Freelancer offers or provides to a Client through the Platform.
- *Project*: A job, task, or work opportunity posted by a Client through the Platform.
- *Offer / Proposal*: A bid or response by a Freelancer to a Project or a direct offer of Services.
- *Contract*: The agreement between a Client and a Freelancer for a Project or Services (including scope, deliverables, fees, milestones, timelines, and any additional terms they agree).
- *Platform Fee*: Any fee that Global Freelancers charges Users for use of the Platform and related services, as described on the Platform.
- *Escrow*: The arrangement under which Client funds are held by a third‑party payment or e‑money service provider pending completion or delivery of Services.
- *Dispute*: Any disagreement between a Client and a Freelancer relating to a Project, Contract, payment, or performance of Services.
- *Payment Partner(s)*: Third‑party payment or e‑money service providers integrated with the Platform.
3. Eligibility
3.1. You must be at least *18 years old* (or the age of legal majority in your jurisdiction, if higher) to use the Platform.
3.2. By using the Platform, you represent and warrant that:
a) You are legally capable of entering into binding contracts.
b) All information you submit to us is *true, accurate, and complete*.
c) You will keep your information up to date.
d) Your use of the Platform will comply with these Terms and with all applicable laws and regulations.
3.3. If you are registering or using the Platform on behalf of a UK company, you warrant that the company is duly incorporated and in good standing under the laws of the United Kingdom (or relevant UK jurisdiction).
3.4. We may refuse, suspend, or terminate your access to the Platform at any time if we reasonably believe you have violated these Terms, any law, or if necessary to protect our interests, other Users, or third parties.
4. Account Registration & Security
4.1. To access certain features, you must create an Account by providing accurate, current, and complete information.
4.2. You agree to:
a) Maintain and promptly update your Account details.
b) Keep your login credentials secure and confidential.
c) Not share your Account or credentials with any other person.
d) Notify us immediately at *[support email]* if you suspect any unauthorized access or security breach.
4.3. You are solely responsible for all activities that occur under your Account, whether or not authorized by you.
4.4. We may require identity and verification checks (including submission of identification documents, bank details, and other KYC/AML information) as a condition of opening or maintaining an Account, funding or withdrawing funds, or using certain features.
5. Role of Global Freelancers
5.1. *Marketplace only*
The Platform is an online marketplace that *connects Clients and Freelancers*. Global Freelancers:
a) Provides tools for posting Projects, submitting Offers, managing Contracts, and handling payments via Payment Partners;
b) Is *not* a party to any Contract between Clients and Freelancers; and
c) Does *not* guarantee the performance of any Services.
5.2. *No employment or agency relationship*
a) Freelancers are *independent contractors* and are not employees, workers, agents, or partners of Global Freelancers.
b) Global Freelancers does not supervise, direct, or control Freelancers’ work or their relationship with Clients.
c) Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency between Global Freelancers and any User.
5.3. *No guarantee*
We do not guarantee:
a) The quality, safety, legality, or fitness for purpose of any Services;
b) The accuracy or reliability of any User content or profile;
c) That any Client will find suitable Freelancers;
d) That any Freelancer will secure Projects; or
e) The successful completion of any Project.
6. User Obligations
6.1. You agree to use the Platform only for lawful purposes and in accordance with these Terms and all applicable laws.
6.2. You must not:
a) Use false identities or create multiple Accounts without our prior consent.
b) Misrepresent your skills, qualifications, experience, or affiliation.
c) Post Projects or Offers that are misleading, fraudulent, or impossible to complete.
d) Infringe or violate any third‑party rights, including intellectual property, privacy, or publicity rights.
e) Engage in abusive, harassing, hateful, discriminatory, or threatening conduct.
f) Upload or distribute viruses, malware, or other harmful code.
g) Attempt to gain unauthorized access to the Platform or its systems.
h) Use the Platform to promote or engage in illegal activities or prohibited services.
i) Interfere with or disrupt the operation of the Platform or other Users’ use of it.
6.3. Off‑Platform Communications and Payments (Anti‑Circumvention)
6.3.1. *No circumvention*
You agree that you will not, directly or indirectly, solicit or accept any payment outside the Platform for any Services where:
a) The Client and Freelancer first made contact through the Platform; or
b) The Project was posted, advertised, or otherwise communicated through the Platform,
unless expressly permitted in writing by Global Freelancers.
6.3.2. *Prohibited conduct*
Without limiting the above, you must not:
a) Share personal contact details (such as personal email, phone, WhatsApp, Telegram, or social media handles) with the intention of avoiding Platform Fees.
b) Propose or accept payment via cash, bank transfer, cryptocurrency, or any other method outside the Platform for work sourced through the Platform.
c) Instruct, encourage, or assist another User to do so.
6.3.3. *Permitted off‑platform arrangements (Conversion / Buy‑Out)*
Global Freelancers may, at its sole discretion, permit a Client and Freelancer to continue their relationship off‑platform, provided that:
a) The Client pays a *Conversion Fee* to Global Freelancers, calculated as:
- *[e.g. 15% of the total amount paid or payable by the Client to the Freelancer in the preceding 12 months via the Platform, or £[X], whichever is higher]*; and
b) Global Freelancers confirms in writing that the Conversion Fee has been paid and that off‑platform work between the parties for the relevant Projects is approved.
6.3.4. *Consequences of circumvention*
If we reasonably believe that you have breached this anti‑circumvention clause, we may, without limitation:
a) Immediately suspend or terminate your Account.
b) Charge you a *Circumvention Fee* equal to the Platform Fees that we would reasonably have earned had the work been contracted and paid through the Platform, which you agree is a fair and genuine pre‑estimate of our loss.
c) Where legally permitted, set off any such Circumvention Fee against balances or future payments due to you through the Platform.
6.4. Legal compliance
6.4.1. You are solely responsible for determining and complying with your own legal obligations, including (without limitation):
a) Tax obligations (income tax, corporation tax, VAT, National Insurance contributions, and any other taxes or charges).
b) Registration, licensing, or regulatory obligations applicable to your profession or business.
c) Employment, labour, and immigration laws in any relevant jurisdiction.
6.4.2. Global Freelancers is not responsible for advising you on these matters and is not liable for your failure to comply with any legal or regulatory requirements.
7. Posting Projects and Offering Services
7.1. Clients
7.1.1. When posting a Project, you must provide clear, accurate, and complete information, including the scope of work, objectives, required skills, timelines, and budget (if any).
7.1.2. You are responsible for:
a) Reviewing Freelancers’ profiles, portfolios, proposals, and reviews.
b) Selecting Freelancers.
c) Agreeing the Contract terms (scope, deliverables, milestones, deadlines, and fees).
d) Ensuring that your Project and requested Services are lawful.
7.1.3. By accepting an Offer from a Freelancer, or otherwise agreeing to engage a Freelancer, you enter into a *separate Contract* with that Freelancer. Global Freelancers is *not* a party to that Contract.
7.2. Freelancers
7.2.1. You must provide accurate and up‑to‑date information about your skills, experience, qualifications, portfolio, rates, and availability.
7.2.2. By submitting an Offer or providing Services, you represent and warrant that you:
